REGISTRACÍ A PŘIHLÁŠENÍM DO AFFILIATE PARTNER PROGRAMU SANATORIUMS.COM JAKO AFFILIATE PARTNER OSOBA SOUHLASÍ, UZNÁVÁ, A PŘIJÍMÁ PODMÍNKY TÉTO SMLOUVY O AFFILIATE PARTNER PROGRAMU (DÁLE JEN „SMLOUVA“).
MEZI:
1. SANATORIUMS.COM s.r.o., IČ 031 04 681, se sídlem Libušina 2127/19,36001 Karlovy Vary, Česká republika, zapsaná v obchodním rejstříku vedeném Krajský soudem v Plzni, vložka C 30443, DIČ CZ03104681, na straně jedné (dále jen jako “SANATORIUMS”), a
2. AFFILITE PARTNEREM, jehož iniciály jsou uvedeny v registračním formuláři affiliate partnera (registrační formulář Affiliate Partnera) (dále jen „Affiliate Partner“).
PREAMBULE:
1. SANATORIUMS provozuje online rezervační systém Ubytování (dále jen „Systém“), jehož prostřednictvím mohou zúčastněné Ubytovací Jednotky (společně dále také jako „Hotely“, nebo jednotlivě jako „Hotel“) zpřístupnit své pokoje k rezervaci a prostřednictvím něhož si návštěvníci mohou v těchto Hotelech rezervovat ubytování (dále také jen jako „Služba“);
2. SANATORIUMS vede a využívá své vlastní webové stránky (dále jen „webové stránky SANATORIUMS“) a také poskytuje Službu a odkazy na Službu na webových stránkách třetích stran;
3. Affiliate partner vlastní, ovládá, hostuje a/nebo provozuje jednu nebo více internetových domén a webových stránek;
4. Affiliate partner a SANATORIUMS si přejí, aby Affiliate partner zpřístupnil Službu (přímo nebo nepřímo) svým zákazníkům a návštěvníkům webových stránek Affiliate partnera ve formě a za podmínek stanovených v této Smlouvě.
SE DOHODLY TAKTO:
Smluvní Strany se dohodly na těchto definicích termínů užitých ve Smlouvě:
„Ubytování“ znamená jakoukoli formu ubytování, včetně mimo jiné hotelů, sanatorií, motelů, penzionů, hostelů, vil, apartmánů, rezortů, obytných domů a jakýkoliv jiný (druh) ubytování, pronájmu nebo noclehu (ať už jsou nebo nejsou k dispozici na webových stránkách SANATORIUMS).
„Affiliate partner“ znamená smluvní stranu, jejíž příslušné kontaktní údaje jsou uvedeny v Registračním Formuláři Affiliate partnera nebo v detailu nastavení partnera po registraci.
„Registrační formulář Affiliate partnera“ znamená online přihlašovací a registrační formulář, který vyplní Affiliate partner.
"Webové stránky Affiliate Partnera“ znamenají webovou stránku vlastněnou, kontrolovanou, hostovanou a provozovanou Affiliate Partnerem, na níž bude Služba zpřístupněna a jejíž adresa URL je uvedena v Registračním Formuláři Affiliate Partnera.
„Black Hat“ (nazývaný také spamdexing) znamená jakýkoli pokus o přesměrování výsledků vyhledávání na konkrétní cílové stránky metodou nebo způsobem, který je v rozporu s předpisy pro spamování. Taktika Black Hat SEO zahrnuje: keyword stuffing (tapetování klíčovými slovy), skrytý text a odkazy, optimalizované vstupní stránky a podvodné optimalizační stránky pro zmatení vyhledávacích robotů, rámcové propojování a spamování blogových komentářů.
„Údaje společnosti SANATORIUMS“ znamenají práva duševního vlastnictví společnosti SANATORIUMS a Obsah, jak jsou poskytovány Affiliate Partnerovi na základě této Smlouvy, a takové další informace, které čas od času vlastní nebo používá společnost SANATORIUMS nebo které jsou začleněny nebo zahrnuty na webových stránkách SANATORIUMS nebo zpřístupněny prostřednictvím SANATORIUMS Affiliate Partnerovi (např. ceny a dostupnost).
„Webové stránky SANATORIUMS“ jsou webové stránky společnosti sanatoriums.com.
„Provize“ znamená částku v eurech (bez DPH), kterou SANATORIUMS zaplatí Affiliate Partnerovi za každou Uskutečněnou transakci, přičemž tato částka bude vyplacena Affiliate Partnerovi nezávisle na jakékoli platbě provedené příslušným hotelem společnosti SANATORIUMS.
„Údaje o zákazníkovi“ znamenají jméno Hosta a další soukromé informace Hosta.
„Správcem údajů“ se rozumí strana, která určuje účel a prostředky zpracování osobních údajů.
„Host“ znamená návštěvníka webových stránek, který dokončil rezervaci hotelu prostřednictvím Služby.
„Hotel“ znamená jakékoli Ubytování dostupné na webových stránkách SANATORIUMS nebo jejich prostřednictvím.
„Právo duševního vlastnictví“ znamená jakýkoli patent, autorská práva, vynálezy, práva k databázi, právo k průmyslovému provedení, registrovaný návrh, ochrannou známku, obchodní název, značku, logo, servisní známku, know-how, užitný vzor, neregistrovaný návrh nebo případně jakoukoli žádost o jakékoli takové právo, know-how, obchodní jméno nebo název, doménové jméno (s jakoukoli doménou nejvyšší úrovně (kódem země), např..com, .nl, .fr, .eu) nebo jiná podobná práva nebo povinnost, ať už registrované nebo neregistrované nebo jiná práva průmyslového nebo duševního vlastnictví existující na jakémkoli území nebo jurisdikci na světě.
„Odkaz“ znamená vloženou ikonu, objekt, grafiku nebo text na webové stránce nebo v e-mailu, který se skládá z hypertextového ukazatele na URL adresu SANATORIUMS na webech Affiliate partnera. Odkaz také znamená vložený widget / produkt z nabídky produktů / widgetů, které si Affiliate Partner vygeneroval z portfolia nabízených produktů / widgetů.
„Uskutečněnými transakcemi“ se rozumí rezervace návštěvníka webových stránek Affiliate Parnera, který prostřednictvím připojení provedl rezervaci u Hotelu a kterážto rezervace vedla ke skutečnému poskytnutí ubytování, jak bylo potvrzeno Hotelem a společnosti SANATORIUMS.
„Strany“ znamená SANATORIUMS a Affiliate partnera (jednotlivě jako smluvní „Strana“).
„Transakční poplatek“ znamená poplatek, který obdrží SANATORIUMS od každého Hotelu za každou Uskutečněnou transakci.
„Webové stránky“ jsou webové stránky společnosti SANATORIUMS a jejích Affiliate Partnerů a Společností Affiliate Partnerů (včetně webových stránek Affiliate Parnera), na nichž je zpřístupněn produkt a služba společnosti SANATORIUMS.
ÚČEL TÉTO SMLOUVY
Účelem této Smlouvy není, a ani by nemělo být nic, co je zde nebo v jednotlivých ujednáních uvedeno, vykládáno jako vytvoření společného podniku typu joint venture nebo vztahu partnerů, partnerství, obchodního zastoupení nebo vztahu mezi zastupovaným a zástupcem (zmocnitelem a zmocněncem). Pokud se smluvní Strany nedohodnou písemně jinak, žádná z nich nesmí (i) uzavřít jakoukoli smlouvu nebo se zavázat třetím stranám jako zástupce druhé smluvní Strany nebo jejím jménem, (ii) popsat se nebo se prezentovat jako takový zástupce nebo jakýmkoli způsobem vystupovat jako takový zástupce nebo (iii) jednat jménem nebo zastupovat druhou smluvní Stranu jakýmkoli způsobem nebo za jakýmkoli účelem.
PŘEDMĚT SMLOUVY
1. Po dobu platnosti této Smlouvy se smluvní Strany dohodly, že Službu zpřístupní společnost SANATORIUMS Affiliate Partnerovi, jak je uvedeno ve Registračním Formuláři Affiliate Partnera, podle struktury a nabídky Služby ze strany SANATORIUMS, a na webových stránkách. Služba bude zahrnovat zákaznické služby pro Hosty a v jejich prospěch. Affiliate partner je povinen neprodleně postoupit a/nebo předat všechny záležitosti týkající se služeb zákazníkům a dotazy týkající se Služby, (využití) rezervace (včetně jakékoli změny nebo zrušení rezervace), Hotelu a všech dalších souvisejících (platebních) záležitostí, stížnosti a dotazy přímo (zákaznickému středisku) společnosti SANATORIUMS a neposkytovat v tomto ohledu žádné další služby.
2. Affiliate Partner se zavazuje, že nepodnikne případně neopomene podniknout jakoukoliv akci, která by mohla ovlivnit vztah společnosti SANATORIUMS s Hotely dostupnými na webových stránkách SANATORIUMS. Partner se zavazuje, že nevyvolá ani neumožní nic, co by mohlo způsobit, že bude SANATORIUMS vyloučena z procesu rezervace jakéhokoliv Hotelu, navíc Affiliate Partner nebude negativně ani nepříznivě hovořit (tj. pomlouvat) ani komentovat (podnikání) SANATORIUMS a nebude přesvědčovat nebo se snažit přimět jakýkoliv Hotel k tomu, aby ukončil svou smlouvu nebo omezil jednání a obchodování s SANATORIUMS.
3. Affiliate Partner se zavazuje, že nebude komunikovat s žádným Hotelem ohledně (realizovaných) rezervací provedených prostřednictvím Systému nebo za účelem jakékoli zákaznické služby v souvislosti s takovými rezervacemi provedenými prostřednictvím Systému nebo realizovanými rezervacemi.
4. Affiliate Partner bude řádně a pečlivě udržovat a upravovat obsah Webových Stránek Affiliate Partnera a udržovat Webové Stránky Affiliate Partnera aktuální a přesné. Affiliate Partner okamžitě opraví veškeré chyby nebo opomenutí na Webových Stránkách Affiliate Partnera a v informacích vztahujících se k Hotelům poté, co se o takových chybách dozví nebo o nich bude informován společností SANATORIUMS.
5. SANATORIUMS poskytne Affiliate Partnerovi jedinečný odkaz na zabezpečenou Webovou Stránku SANATORIUMS (dále jen „Zabezpečená Webová Stránka“), uživatelské jméno a heslo, které umožňuje Affiliate Partnerovi sledovat statistiky rezervací ubytování prostřednictvím Webových Stránek Affiliate Partnera a všechny relevantní informace o správě zpřístupněné společností SANATORIUMS online. Affiliate Partner bude chránit a zachová důvěrnost a zajistí bezpečné uložení uživatelského jména a hesla a nesdělí je nikomu jinému než těm, kteří potřebují přístup na Zabezpečený Web. Affiliate Partner bude neprodleně informovat SANATORIUMS o jakémkoli (podezřelém) porušení zabezpečení nebo nesprávném použití.
6. Affiliate partner souhlasí a bere na vědomí, že omezující úmluvy, záruky, závazky, povinnosti a omezení stanovená v této Smlouvě mají pro společnost SANATORIUMS zásadní význam, zejména z hlediska (i) její ochoty uzavřít tuto Smlouvu s Affiliate Partnerem a (přímo nebo nepřímo) zpřístupnit Službu, Obsah a práva duševního vlastnictví společnosti SANATORIUMS Affiliate Partnerovi, a (ii) ochrany dobré pověsti, produktu, služby a (tržní) reputace společnosti SANATORIUMS. Affiliate Partner dále souhlasí a bere na vědomí, že všechny úmluvy, závazky, záruky, garance a omezení stanovené v tomto bodě 4 musí (a) být Affiliate Partnerem neprodleně, řádně a pečlivě splněny.
PRÁVA A POVINNOSTI STRAN
1. Affiliate Partner bere na vědomí, že si SANATORIUMS a/nebo její poskytovatelé licencí ponechají vlastnictví všech práv, titulů a podílů na všech právech duševního vlastnictví společnosti SANATORIUMS nebo začleněných do webových stránek SANATORIUMS, včetně (avšak nikoliv výhradně) loga SANATORIUMS a Obsahu.
2. Affiliate Partner nebude (přímo nebo nepřímo) sdělovat, integrovat, zahrnovat, používat, kombinovat, využívat, začleňovat nebo jinak zpřístupňovat údaje z SANATORIUMS (nebo jakékoli jejich části) (a) spolu s vlastním obsahem a/nebo obsahem jakéhokoli konkurenta SANATORIUMS (včetně Hotelů) nebo (b) ve prospěch (i) sebe samotného (s výjimkou povolení Služby a Systému v souladu s podmínkami této Smlouvy), nebo (ii) jakékoli třetí strany (včetně jakéhokoli konkurenta SANATORIUMS a Hotelů) (ať už za účelem propagace, marketingu, odkazu na reklamu, propagaci, reklamu nebo jinak v zájmu takové strany), nebo (c) za jakýmkoli jiným účelem nebo jakýmkoli jiným způsobem a/nebo prostřednictvím platforem třetích stran, s výjimkou případů výslovně stanovených v této Smlouvě. Affiliate Partner nebude měnit, upravovat, doplňovat, zkreslovat, vytvářet odvozená a/nebo nová díla na základě a/nebo odvozená z údajů společnosti SANATORIUMS a údaje společnosti SANATORIUMS nebudou zahrnovat (přímý nebo nepřímý) odkaz, referenci nebo proklik na (webovou stránku) konkurenta SANATORIUMS (včetně Hotelů). Po ukončení nebo vypršení platnosti této Smlouvy Affiliate Partner zničí, odstraní nebo na první žádost SANATORIUMS vrátí všechna data SANATORIUMS (včetně všech tištěných a papírových kopií).
3. Affiliate Partner tímto prohlašuje a zaručuje společnosti SANATORIUMS, že po dobu platnosti této Smlouvy disponuje všemi nezbytnými právy, vlastnickým právem, pravomocí a oprávněním vlastnit, provozovat a používat Webové Stránky Affiliate partnera (včetně příslušného názvu domény) a uvádět Odkaz na Webových Stránkách Affiliate Partnera; Webové Stránky Affiliate Partnera nebudou (a) porušovat pravidla pro spamování, veřejný pořádek a morálku, nebo (b) obsahovat jakýkoli nevhodný nebo nezákonný obsah, reference, materiál, informace, odkazy nebo bannery (např. pornografické nebo rasistické), hanlivá prohlášení, prvky, které porušují soukromí třetích stran nebo jsou nepřístojné, urážlivé či obscénní; Affiliate Partner je držitelem a splnil všechna povolení, licence a jiná vládní oprávnění nezbytná pro vedení, provádění a provozování svých činností a podnikání a Affiliate Partner je nezávislým dodavatelem pro všechny účely a ponese odpovědnost za své vlastní daně, sociální příspěvky a všechny ostatní daňové záležitosti.
4. Smluvní Strany rozumějí a souhlasí s tím, že při plnění této Smlouvy může každá smluvní Strana získat přístup k přímým nebo nepřímým důvěrným informacím druhé smluvní Strany, ať už před datem uzavření této Smlouvy nebo po něm, což jsou jakékoliv informace, které by rozumná v obchodu podnikající osoba považovala za důvěrné, včetně (mimo jiné) informací týkajících se obchodu, transakcí, informací týkajících se kurzu, parity a dostupnosti produktů, údajů o převodu, podmínek této Smlouvy, financí, záležitostí, klientů, dodavatelů, plány, návrhy, patentované produkty, software, včetně zdrojových kódů nebo obchodní tajemství a obchodní vyhlídky (dále jen „Důvěrné Informace“). S důvěrnými informacemi se zachází jako se soukromými a důvěrnými a nesdělují se žádné (třetí) straně, s výjimkou případů nutného sdělení zaměstnancům, úředníkům a zástupcům (dále jen „Oprávněné Osoby“), a to při zachování bezpečnost důvěrných informací, nebo proto, že to vyžaduje zákon, soudní příkaz nebo jakýkoli vládní nebo regulační orgán.
5. Smluvní Strany vynaloží obchodně přiměřené úsilí k zajištění důvěrnosti a soukromí všech osobních údajů zpracovávaných v souvislosti s touto Smlouvou a k ochraně před neoprávněným použitím nebo zveřejněním. Pokud není v této Smlouvě stanoveno jinak, souhlasí každá smluvní Strana s tím, že bude dodržovat příslušné zákony, pravidla a předpisy jurisdikce, podle níž je tato smluvní Strana zaregistrována (včetně (případně) právních předpisů členských států EU provádějících směrnice 95/46/ES, 2002/58/ES (ve znění pozdějších předpisů nebo nahrazení)) o zpracování osobních údajů a ochraně elektronického soukromí a obecném nařízení EU o ochraně údajů. Affiliate partner chápe a souhlasí s tím, že SANATORIUMS bude výhradně správcem všech osobních údajů shromážděných a dále zpracovávaných společností SANATORIUMS v souvislosti s touto Smlouvou. Affiliate Partner rozumí a souhlasí s tím, že SANATORIUMS bude zpracovávat veškeré osobní údaje shromážděné a související s Affiliate Partnerem a / nebo osobami jednajícími jeho jménem v souladu s prohlášením o ochraně osobních údajů SANATORIUMS pro obchodní partnery dostupným na www.sanatoriums.com. Affiliate Partner souhlasí s tím, že získal veškerý nezbytný souhlas ke shromažďování a používání osobních údajů ze strany SANATORIUMS v souvislosti se Smlovou týkající se jakékoli osoby jednající jménem Affiliate Partnera.
PROVIZE
1. SANATORIUMS zaplatí Affiliate Partnerovi za každou Uskutečněnou transakci provizi ve výši 40 % z Transakčního poplatku. Tato provize je výchozím nastavením, ale může být v průběhu trvání smlouvy měněna dle dohody mezi SANATORIUMS a Affiliate Partnerem.
2. SANATORIUMS provozuje a Affiliate Partner přijímá systém „samofakturace“ jakékoliv provize splatné Affiliate Partnerovi, kdy veškeré daňové doklady na základě této Smlouvy vystavuje pro obě Strany SANATORIUMS.
3. SANATORIUMS bude měsíčně vystavovat daňové doklady a následně hradit Affiliate Partnerovi provizi 14 dní po vystavení daňového dokladu, ledaže by částka provize splatné Affiliate Partnerovi v té době byla nižší než 50 EUR, v kterémžto případě SANATORIUMS bude mít právo odložit vystavení daňového dokladu i uskutečnění platby samotné až do měsíce, kdy je taková částka splatná nebo do doby, než si tuto částku vyžádá Affiliate Partner po ukončení této Smlouvy. Aby mohl být vystaven daňový doklad, musí Affiliate partner úplně vyplnit své bankovní a fakturační údaje ve svém Affiliate webovém rozhraní.
4. Všechny platby provizí se realizují přímým bankovním převodem na bankovní účet určený Affiliate Partnerem. Partner je povinen v rámci své registrace nebo bez zbytečného odkladu po registraci uvést své bankovní a fakturační údaje ve svém Affiliate webovém rozhraní, nejpozději však do konce kalendářního roku, ve kterém provedl svoji registraci. Partner se zavazuje aktualizovat své bankovní a fakturační údaje ve svém Affiliate webovém rozhraní, vždy při jakékoliv změně, a to nejpozději do 3 dnů ode dne změny, nejpozději však do konce příslušného kalendářního roku.
5. SANATORIUMS je vždy oprávněna ukončit a pozastavit své (platební) závazky (včetně nabídky a povolení Služby), dokud nebude schopna Affiliate Partnera (včetně příslušných stran, které partnera vlastní a/nebo kontrolují) identifikovat a ověřit (prověřit).
6. V případě, že Partner nevyplnil nebo vadně vyplnil své bankovní a fakturační údaje ve svém Affiliate webovém rozhraní, tak se smluvní strany dohodly na tom, že takovéto porušení povinností Partnera, tedy uvést správné bankovní a fakturační údaje ve svém Affiliate webovém rozhraní, znamená, že i když Partnerovi vznikne nárok na provizi za poslední kalendářní rok, ale SANATORIUMS z důvodu porušení Partnera uvést své správné bankovní a fakturační údaje ve svém Affiliate webovém rozhraní nebude schopna realizovat odeslání provize, tak se pro takovýto příklad smluvní strany dohodly na tom, že nárok na provizi za poslední kalendářní rok Partnerovi zaniká, a to k 31.12. příslušného kalendářního roku, ve kterém nárok na provizi vznikl. Partner výslovně uvádí, že pro případ, kdy neuvede své správné bankovní a fakturační údaje ve svém Affiliate webovém rozhraní a SANATORIUMS nebude schopna realizovat odeslání provize, tak se pro takovýto příklad Partner vzdává svého nároku na provizi za poslední kalendářní rok, a to k 31.12. příslušného kalendářního roku, ve kterém nárok na provizi vznikl.
7. Affiliate Partner souhlasí s tím, že SANATORIUMS je oprávněna změnit výši provize dle této Smlouvy, kdy odsouhlasení změny výše Provize dojde mezi Stranami prostřednictvím Zabezpečené Webové Stránky SANATORIUMS.
8. Systémy, knihy a záznamy společnosti SANATORIUMS (včetně Extranetu, faxů a/nebo e-mailů) se považují za přesvědčivé důkazy ohledně výše provize, kterou má Affiliate Partner podle této Smlouvy obdržet.
PLATNOST, UKONČENÍ A POZASTAVENÍ
1. Není-li dohodnuto jinak, uzavírá se tato Smlouva dnem jejího podpisu na dobu neurčitou. Podpisem je myšleno elektronický souhlas s těmito podmínkami.
2. Každá smluvní Strana může tuto Smlouvu kdykoli a z jakéhokoli důvodu s okamžitou účinností ukončit, a to písemným oznámením druhé smluvní Straně.
3. Každá smluvní Strana může tuto Smlouvu ve vztahu k druhé straně s okamžitou účinností a bez oznámení o neplnění ukončit nebo pozastavit, a to v následujících případech:
1. podstatného porušení jakékoli podmínky této Smlouvy druhou smluvní Stranou;
2. (podání žádosti) o úpadek nebo odkladu plateb (nebo podobného opatření) vůči druhé straně nebo
3. (přímé nebo nepřímé) změna kontroly ve vztahu k druhé smluvní Straně.
4. Po ukončení této smlouvy bude SANATORIUMS bude Affiliate Partnerovi nadále hradit veškeré dlužné provize po dobu 12 měsíců po datu ukončení, za předpokladu, že má SANATORIUMS správné kontaktní a bankovní údaje Affiliate Partnera během tohoto období. Pokud Affiliate Partner nepožádá o nevyplacenou provizi ve lhůtě 12 měsíců, bude to představovat účinné vzdání se práva Affiliate Parnera si tuto provizi nárokovat.
5. Po ukončení, a není-li stanoveno jinak, tato Smlouva zcela a úplně zaniká a přestává platit, aniž jsou tím dotčena práva a opravné prostředky smluvní Strany týkající se odškodnění nebo porušení této Smlouvy druhou smluvní Stranou.
ZÁVĚREČNÁ UJEDNÁNÍ
1. Jednotlivé Strany tímto vzájemně prohlašují a zaručují, že po dobu platnosti této Smlouvy mají plnou pravomoc a oprávnění uzavírat a plnit své závazky podle této Smlouvy, podnikly veškeré obchodní kroky, které jsou požadovány k podpisu a plnění této Smlouvy, tato Smlouva představuje právní a závazné povinnosti jednotlivých Stran v souladu s jejími podmínkami.
2. Každá strana vynaloží své obchodně přiměřené úsilí k ochraně a zajištění svých webových stránek.
3. Žádná ze stran neposkytuje v souvislosti s předmětem této Smlouvy žádné prohlášení ani záruku, výslovnou ani předpokládanou, a tímto se zříká veškerých předpokládaných záruk, včetně všech předpokládaných záruk obchodovatelnosti nebo vhodnosti pro konkrétní účel týkající se jejího předmětu.
4. Jakékoli oznámení nebo sdělení, které má být poskytnuto Affiliate Partnerovi podle této Smlouvy, bude zasláno na e-mailovou adresu uvedenou Affiliate Parnerem v Registračním formuláři Affiliate Partnera nebo bude publikováno ve webovém rozhraní.
5. Tato Smlouva představuje úplnou dohodu a porozumění smluvních stran s ohledem na její předmět a nahrazuje a je nadřazena všem předchozím dohodám, ujednáním, (nezávazným) nabídkám, závazkům nebo prohlášením týkající se jejího předmětu.
6. Žádná ze stran není oprávněna postoupit, převést, zatížit některá ze svých práv nebo povinností podle této Smlouvy bez předchozího písemného souhlasu druhé smluvní Strany, přičemž SANATORIUMS může postoupit, převést, zatížit kterékoli ze svých práv a/nebo povinností podle této Smlouvy (zcela nebo částečně nebo čas od času) vůči Affiliate Partnerovi bez předchozího písemného souhlasu Affiliate Partnera.
7. Pokud některé ustanovení této Smlouvy je nebo se stane neplatným nebo nezávazným, zůstávají smluvní Strany vázány všemi jejími ostatními ustanoveními. V takovém případě smluvní Strany nahradí neplatné nebo nezávazné ustanovení ustanoveními, která jsou platná a závazná a která mají v co největší míře podobný účinek jako neplatné nebo nezávazné ustanovení s ohledem na obsah a účel této Smlouvy.
8. Původní česká verze této Smlouvy mohla být přeložena do jiných jazyků. Přeložená verze této Smlouvy je pouze pomocným a administrativním překladem a Affiliate Partner nemůže z přeložené verze vyvozovat žádná práva. V případě sporu o obsahu nebo výkladu podmínek této Smlouvy nebo v případě konfliktu, dvojznačnosti, nekonzistence nebo rozporu mezi česká verzí a jakoukoli jinou jazykovou verzí této Smlouvy, bude platit česká jazyková verze, která bude nadřazená, rozhodující a závazná. V soudním řízení se použije česká verze. Česká verze vám může být zaslána na základě písemné žádosti. Affiliate Partner potvrzení své registrace a uzavřením této Smlouvy potvrzuje, že se s českou verzí této Smlouvy seznámit a plně ji akceptuje.
9. Smlouva vstupuje v platnost a účinnost dokončením registrace Affiliate Partnera a přihlášením do partnerského program SANATORIUMS jako affiliate partner Affiliate Partner souhlasí, uznává, a přijímá podmínky této Smlouvy.
10. Affiliate Partner souhlasí s tím, že SANATORIUMS je oprávněna změnit podmínky této Smlouvy, kdy odsouhlasení změny o změně této Smlouvy dojde mezi Stranami prostřednictvím Zabezpečené Webové Stránky SANATORIUMS.
11. Tato smlouva se bude řídit a vykládat výhradně v souladu se zákony České republiky.
12. Veškeré spory vzniklé v souvislosti s touto Smlouvou nebo z ní vyplývající budou předloženy a řešeny výhradně příslušným soudem v České republice, a to věcně příslušným soudem v místě sídla SANATORIUMS.
BY REGISTRATION AND LOGIN TO THE AFFILIATE PARTNER PROGRAMME OF SANATORIUMS.COM AS AN AFFILIATE PARTNER, THE PARTY IN QUESTION AGREES, ACKNOWLEDGES AND ACCEPTS THE CONDITIONS OF THIS AFFILIATE PARTNER PROGRAMME AGREEMENT (HEREINAFTER REFERRED TO ONLY AS THE “AGREEMENT”).
BETWEEN:
1. SANATORIUMS.COM s.r.o., Company ID Number 031 04 681, with registered office at Libušina 2127/19,36001 Karlovy Vary, Czech Republic, entered in the Commercial Register maintained by the Regional Court in Plzeň, File C 30443, VAT Number CZ03104681, as the one party (hereinafter referred to only as “SANATORIUMS”), and
2. The AFFILITE PARTNER, whose initials are specified in the affiliate partner registration form (hereinafter referred to as Affiliate Partner Registration Form) (hereinafter referred to only as the “Affiliate Partner”).
WHEREAS:
1. SANATORIUMS operates an online Accommodation reservation system (hereinafter referred to only as the “System”), via which participating Accommodation Units (jointly referred to hereinafter also as “Hotels”, or individually as “Hotel”) make their rooms available for reservation and via which visitors can reserve accommodation in these Hotels (hereinafter referred to also only as the “Service”);
2. SANATORIUMS operates and uses its own website (hereinafter referred to only as the “SANATORIUMS Website”) and also provides the Service and links to the Service on third-party websites;
3. The Affiliate Partner owns, controls, hosts and/or operates one or more internet domains and websites;
4. The Affiliate Partner and SANATORIUMS would like the Affiliate Partner to make the Service available (directly or indirectly) to its customers and visitors to the Affiliate Partner’s Website(s) in the form and subject to the conditions determined herein.
THE PARTIES HAVE AGREED AS FOLLOWS:
The Parties to the Agreement have agreed on the following definitions of terms used in the Agreement:
“Accommodation” shall be understood to mean any form of accommodation, among other things including hotels, sanatoria, motels, guest houses, hostels, villas, apartments, resorts, residential houses and any other (type of) accommodation, rental or lodgings (whether these are available on the SANATORIUMS website or not).
“Affiliate Partner” shall be understood to mean the Party to the Agreement whose respective contact details are specified in the Affiliate Partner Registration Form or in the details of the partner’s settings after registration.
“Affiliate Partner Registration Form” shall be understood to mean the online application and registration form which is filled in by the Affiliate Partner.
“Affiliate Partner’s Website” shall be understood to mean a website owned, controlled, hosted and operated by the Affiliate Partner, on which the Service will be made available and the URL address of which is specified in the Affiliate Partner Registration Form.
“Black Hat” (also known as spamdexing) shall be understood to mean any attempt at redirecting search results to a specific target site using a method or in a manner which is at variance with the regulations governing spamming. Black Hat SEO tactics include: keyword stuffing, hidden text and links, optimised landing pages and fraudulent optimisation of pages to confuse search robots, framework connection and spamming of blog comments.
“Data of SANATORIUMS” shall be understood to mean the intellectual property rights of SANATORIUMS and Content, as provided to the Affiliate Partner on the basis of this Agreement, and other such information which is owned or used from time to time by SANATORIUMS or which is incorporated or included in the SANATORIUMS Website or made available via SANATORIUMS to the Affiliate Partner (e.g. prices and availability).
„SANATORIUMS Website” shall be understood to mean the website of sanatoriums.com.
“Commission” shall be understood to mean the amount in euros (excl. VAT) which SANATORIUMS pays the Affiliate Partner for each Performed Transaction, whereas this amount shall be paid to the Affiliate Partner independently of any payment made by the respective Hotel to SANATORIUMS.
“Customer Data” shall be understood to mean the name of the Guest and other private information about the Guest.
“Data Controller” shall be understood to mean the party which determines the purpose and means of personal data processing.
“Guest” shall be understood to mean a website visitor who completed reservation of a Hotel using the Service.
“Hotel” shall be understood to mean any Accommodation available on the SANATORIUMS Website or via this website.
“Intellectual Property Rights” shall be understood to mean any patent, copyright, inventions, rights to databases, rights to industrial performance, a registered design, registered trademark, trading name, brand, logo, service trademark, know-how, utility design, unregistered design or where applicable, any application for any such right, know-how, trading name, domain name (with an top-level domain (county code), e.g. .com, .nl, .fr, .eu) or other similar right or obligation, be this registered or unregistered or other industrial or intellectual property rights existing within any territory or jurisdiction in the world.
“Link” shall be understood to mean an embedded icon, object, graphic or text on a website or in an e-mail which is made up of a hyperlink to the URL address of SANATORIUMS on the Affiliate Partner’s Website. Link shall also be understood to mean an embedded widget / product from the offer of products / widgets which the Affiliate Partner generated from the portfolio of offered products / widgets.
“Performed Transaction” shall be understood to mean a reservation made by a visitor to the Affiliate Partner’s Website who via this connection made a reservation with a Hotel and reservation of which led to actual provision of accommodation, as confirmed by the Hotel and SANATORIUMS.
“Parties” shall be understood to mean SANATORIUMS and the Affiliate Partner (individually referred to as a “Party” to the Agreement).
“Transaction Fee” shall be understood to mean the fee which SANATORIUMS receives from each Hotel in return for each Performed Transaction.
“Website” shall be understood to mean the websites of SANATORIUMS and its Affiliate Partners and the Companies of the Affiliate Partners (including the Affiliate Partner’s Website) on which a product and service of SANATORIUMS is made available.
PURPOSE OF THIS AGREEMENT
The purpose of this Agreement is not, and neither should anything which is specified here or in the individual provisions be interpreted as being creation of a joint venture or relationship between partners, a partnership, commercial representation or relationship between a represented party and representative (principal and agent). Unless the Parties to the Agreement agree otherwise in writing, neither of them may (i) conclude any agreement or oblige third parties as a representative of the other Party to the Agreement or on their behalf, (ii) sign or present themselves as such a representative or in any way act as such a representative, or (iii) act on behalf of or represent the other Party to the Agreement in any way or for any purpose.
SUBJECT OF THE AGREEMENT
1. For the period of validity of this Agreement, the Parties to the Agreement have agreed that the Service shall be made available by SANATORIUMS to the Affiliate Partner as specified in the Affiliate Partner Registration Form, in accordance with the structure and offer of the Service made by SANATORIUMS, and on the Website. The Service shall include customer services for Guests and for their benefit. The Affiliate Partner shall be obliged to immediately convey and/or hand over all issues relating to services provided to customers and queries relating to the Service, (use of) reservation (including any changes or cancellation of reservations), Hotels and all other related (payment) issues, complaints and queries directly to (the customer service centre of) SANATORIUMS and to not provide any other services in this respect.
2. The Affiliate Partner undertakes to not perform or to not forget to perform any actions which could have an impact on the relationship between SANATORIUMS and the Hotels available on the SANATORIUMS Website. The Partner undertakes to not cause and not facilitate anything which could cause SANATORIUMS to be excluded from the reservation process of any Hotel. The Affiliate Partner shall also not speak negatively or adversely (i.e. defame) or comment (on the business of) SANATORIUMS and shall not convince or try to induce any Hotel to terminate its agreement or limit dealings and business with SANATORIUMS.
3. The Affiliate Partner undertakes to not communicate with any Hotel regarding (performed) reservations made via the System or for the purpose of any customer services in relation to such reservations performed via the System or reservations made.
4. The Affiliate Partner shall duly and carefully maintain and modify the content of the Affiliate Partner’s Website and keep the Affiliate Partner’s Website up-to-date and precise. The Affiliate Partner shall immediately correct all errors or faults on the Affiliate Partner’s Website and in information relating to Hotels after having learned of such errors or having been informed of such errors by SANATORIUMS.
5. SANATORIUMS shall provide the Affiliate Partner a unique link to the secure SANATORIUMS Website (hereinafter referred to only as “Secure Website”), a user name and password which will allow the Affiliate Partner to monitor accommodation reservation statistics via the Affiliate Partner’s Website and all relevant information about administration made available by SANATORIUMS online. The Affiliate Partner shall protect and preserve confidentiality and shall ensure secure storage of the user name and password and shall not divulge the password to any parties other than those parties which need access to the Secure Website. The Affiliate Partner shall inform SANATORIUMS without delay of any (suspected) breach of security or incorrect usage.
6. The Affiliate Partner agrees and takes due note of the fact that the limiting conventions, guarantees, liabilities, obligations and restrictions determined in this Agreement are of fundamental importance to SANATORIUMS, in particular from the point of view of (i) its willingness to conclude this Agreement with the Affiliate Partner and (directly or indirectly) to make the Service, Content and other Intellectual Property Rights of SANATORIUMS available to the Affiliate Partner, and (ii) protection of the good name, products, services and (market) reputation of SANATORIUMS. The Affiliate Partner also agrees and takes due note of the fact that all of the conventions, liabilities, guarantees, warranties and restrictions determined in this point 4 must (a) by duly and carefully met without delay by the Affiliate Partner.
RIGHTS AND OBLIGATIONS OF THE PARTIES
1. The Affiliate Partner takes due note of the fact that SANATORIUMS and/or its licensers shall retain ownership of all rights, titles and shares in all Intellectual Property Rights of SANATORIUMS or incorporated in the SANATORIUMS Website, including (although not exclusively) the SANATORIUMS logo and Content.
2. The Affiliate Partner shall not (directly or indirectly) communicate, integrate, include, use, combine, utilise, incorporate or otherwise make available data from SANATORIUMS (or any part thereof) (a) together with its own content and/or the content of any competitor of SANATORIUMS (including Hotels) or (b) to the benefit (i) of itself (with the exception of permission of the Service and System in accordance with the conditions of this Agreement), or (ii) any third party (including any competitor of SANATORIUMS and Hotels) (be this for the purpose of promotion, marketing, reference to advertising, promotion, an advert or otherwise in the interest of such a party), or (c) for any other purpose or in any other manner and/or via third-party platforms, with the exception of cases explicitly determined herein. The Affiliate Partner shall not change, modify, supplement, deform, create derived and/or new works on the basis of and/or derived from the data of SANATORIUMS and the data of SANATORIUMS shall not include (direct or indirect) links, reference or click-through to (the website of) a competitor of SANATORIUMS (including Hotels). After the termination or expiry of the validity of this Agreement, the Affiliate Partner shall destroy, remove or, on first request by SANATORIUMS, return all of the data of SANATORIUMS (including all printed and paper copies).
3. The Affiliate Partner hereby declares and guarantees to SANATORIUMS that, over the period of validity of this Agreement, it holds all of the necessary rights, ownership rights, powers and authorisation to own, operate and use the Affiliate Partner’s Website (including the respective domain name) and to display the Link on the Affiliate Partner’s Website; the Affiliate Partner’s Website shall not (a) breach the rules for spamming, public order and morals, or (b) contain any unsuitable or illegal content, references, material, information, links or banners (e.g. pornographic or racist), derogatory statements, features which breach the privacy of third parties or which are improper, offensive or obscene; the Affiliate Partner holds and has met the requirements for all permits, licences and other governmental authorisations needed to manage, perform and operate its activities and business and the Affiliate Partner is an independent contractor for all purposes and shall bear liability for their own taxes, social security contributions and all other tax-related issues.
4. The Parties to the Agreement understand and agree that while performing this Agreement, each Party to the Agreement may gain access to direct or indirect confidential information of the other Party to the Agreement, be this before the date of conclusion of this Agreement or after this, which is constituted by any information which could reasonably be considered confidential in business circles, including (among other things) information relating to business, transactions, information relating to exchange rates, parity and availability of products, data about transfers, the conditions of this Agreement, finances, issues, clients, suppliers, plans, designs, patented products, software, including source codes or trade secrets and business prospects (hereinafter referred to only as “Confidential Information”). Confidential Information shall be handled as private and confidential and shall not be communicated to any (third) party, with the exception of cases when communication of such information is necessary to employees, officials and representative (hereinafter referred to only as “Authorised Parties”), this being while preserving the security of such confidential information, or due to the fact that this is required by law, a court order or order of any governmental or regulatory authority.
5. The Parties to the Agreement shall exert all commercially reasonable efforts to ensure the confidentiality and privacy of personal data processed in relation to this Agreement and to ensure its protection against any unauthorised use or publication. Unless determine otherwise herein, each Party to the Agreement agrees that it shall comply with the respective laws, rules and regulations of the jurisdiction under which this Agreement is registered (including (any possible) the legislation of EU member countries implementing Directive 95/46/EC, 2002/58/EC (as amended or replaced)) governing processing of personal data and protection of electronic privacy and the general EU regulation on data protection. The Affiliate Partner understands and agrees that SANATORIUMS shall be the sole Controller or all personal data collected and further processed by SANATORIUMS in relation to this Agreement. The Affiliate Partner understands and agrees that SANATORIUMS shall process all of the personal data collected and relating to the Affiliate Partner and/or persons acting on its behalf in compliance with the declaration on personal data protection of SANATORIUMS for business partners which is available at www.sanatoriums.com. The Affiliate Partner agrees that it has acquired all necessary consent to collection and use of personal data by SANATORIUMS in relation to the Agreement relating to any persons acting on behalf of the Affiliate Partner.
COMMISSION
1. SANATORIUMS shall pay the Affiliate Partner a commission for each Performed Transaction in the level of 40% of the Transaction Fee. This commission is set as the default level, but may be altered over the duration of the Agreement subject to agreement between SANATORIUMS and the Affiliate Partner.
2. SANATORIUMS operates and the Affiliate Partner accepts a system of “self-invoicing” of any commission payable to the Affiliate Partner, when all tax documents on the basis of this Agreement shall be issued for both Parties by SANATORIUMS.
3. SANATORIUMS shall issue tax documents on a monthly basis and subsequently pay the Affiliate Partner commission 14 days after issuance of the tax document, unless the amount of commission payable to the Affiliate Partner at that time is less than EUR 50, in which case SANATORIUMS shall be entitled to defer issuance of the tax document and performance of the actual payment until the month in which such an amount is payable or until such time as the Affiliate Partner requests this amount after termination of this Agreement. In order for a tax document to be issued, the Affiliate Partner must fill in its bank and invoicing details in full in its Affiliate web interface.
4. All payments of commission shall be made by direct bank transfer to the bank account determined by the Affiliate Partner. As part of the registration process the Partner is obliged to enter the bank and billing information into the Affiliate web interface without undue delay, but no later than the end of the calendar year in which the Partner registered. The Partner undertakes to update the bank and billing information in his Affiliate web interface, always in the event of any change and no later than 3 days from the date of the change, but no later than the end of the relevant calendar year.
5. SANATORIUMS shall always be entitled to terminate and suspend its (payment) obligations (including offers and permission for use of the Service), until it is able to identify and check (vet) the Affiliate Partner (including the respective parties which the Partner owns and/or controls).
6. In the event that the Partner has not filled in or incorrectly filled in the bank and billing information in the Affiliate web interface the parties have agreed that such a breach of the Partner's obligations, meaning to provide correct bank and billing information in the Affiliate web interface, means that even if the Partner is entitled to a commission for the last calendar year, SANATORIUMS will not be able to send the commission due to a breach of the Partner's correct banking and invoicing data in the Affiliate web interface, so for such an example the parties have agreed that the right to the commission for the last calendar year expires to the Partner as of 31.12. of the relevant calendar year in which the commission entitlement arose. The Partner expressly states that in the event that he does not provide his correct bank and billing information in his Affiliate web interface and SANATORIUMS will not be able to send the commission, the Partner waives his right to the commission for the last calendar year as of 31.12. of the relevant calendar year in which the commission entitlement arose.
7. The Affiliate Partner agrees that SANATORIUMS shall be entitled to change the level of the commission pursuant to this Agreement, whereas approval of change to the level of the Commission shall be performed by and between the Parties via the Secure Website of SANATORIUMS.
8. The systems, books and records of SANATORIUMS (including Extranet, faxes and/or e-mails) shall be regarded as being convincing evidence as regards the level of commission which the Affiliate Partner should receive in accordance with this Agreement.
VALIDITY, TERMINATION AND SUSPENSION
1. Unless agreed otherwise, this Agreement is concluded on the date of its signature for an indefinite period of time. Signature shall be understood to mean electronic consent to these conditions.
2. Each Party to the Agreement may terminate this Agreement at any time and on any grounds, effective immediately, this being by written notice of termination given to the other Party to the Agreement.
3. Each Party to the Agreement may end or suspend this Agreement in relation to the other Party, effective immediately and without notification of failure to provide performance in the following cases:
1. fundamental breach of any of the conditions of this Agreement by the other Party to the Agreement;
2. (submission of application) for insolvency or deferral of payments (or other similar measures) against the other Party, or
3. (direct or indirect) change in control in relation to the other Party to the Agreement.
4. After termination of this Agreement, SANATORIUMS shall continue to pay the Affiliate Partner all outstanding commission for a period of 12 months from the date of termination, this being subject to SANATORIUMS having the correct contact and banking details of the Affiliate Partner during this period. If the Affiliate Partner does not request payment of commission within a deadline of 12 months, this shall constitute effective waiving of entitlement on the part of the Affiliate Partner to claim this commission.
5. After termination, and unless determined otherwise, this Agreement shall expiry completely and cease to be valid, without this affecting the rights and remedies of the Parties to the Agreement relating to compensation or breach of this Agreement by the other Party to the Agreement.
FINAL PROVISIONS
1. The individual Parties hereby mutually declare and guarantee that over the period of validity of this Agreement, they have the full power and authority to conclude and meet their obligations pursuant to this Agreement, that they have taken all commercial steps which are required for signature and performance of this Agreement, that this Agreement represents a legal and binding obligation of the individual Parties in accordance with its conditions.
2. Each Party shall exert its own reasonable commercial efforts to protect and secure its Website.
3. Neither of the Parties provides any declarations or guarantees, explicit or assumed, in relation to the subject of this Agreement, and hereby waive all assumed guarantees, including all assumed guarantees regarding marketability or suitability for a specific purpose relating to its subject.
4. Any notifications or communications which should be provided to the Affiliate Partner according to this Agreement shall be sent to the e-mail address specified by the Affiliate Partner in the Affiliate Partner Registration Form or shall be published in the web interface.
5. This Agreement represents complete agreement and understanding between the Parties to the Agreement as regards its subject and replaces and supersedes all prior agreements, arrangements, (non-binding) offers, liabilities or declarations relating to its subject.
6. Neither of the Parties shall be entitled to assign, transfer or encumber any of their rights or obligations pursuant to this Agreement without the prior written consent of the other Party to the Agreement, whereas SANATORIUMS may assign, transfer or encumber any of its rights and/or obligations pursuant to this Agreement (as a whole or in part or from time to time) towards the Affiliate Partner without the prior written consent of the Affiliate Partner.
7. If any of the provisions of this Agreement is or becomes invalid or non-binding, the Parties to the Agreement shall remain bound by all of its other provisions. In such a case, the Parties to the Agreement shall replace any invalid or non-binding provisions with provisions which are valid and binding and which have as similar as possible an effect to that of the invalid or non-binding provisions with a view to the content and purpose of this Agreement.
8. The original Czech version of this Agreement may have been translated into other languages. Translated versions of this Agreement shall only constitute a complementary and administrative translation and the Affiliate Partner may not infer any rights from any translated version. In the event of any dispute over the content or interpretation of the conditions of this Agreement or in the event of any conflict, ambiguity, inconsistency or conflict between the Czech version and any other language version of this Agreement, the Czech language version shall prevail, this being superior to other language versions, decisive and binding. The Czech version shall be used in any judicial proceedings. The Czech version can be sent to you subject to written request. By confirming its registration and concluding this Agreement, the Affiliate Partner confirms that it has familiarised itself with the Czech version of this Agreement and accepts it in full.
9. The Agreement becomes valid and effective at the moment of completion of registration of the Affiliate Partner and by login to the SANATORIUMS partner programme as an affiliate partner, the Affiliate Partner agrees, acknowledges and accepts the conditions of this Agreement.
10. The Affiliate Partner agrees that SANATORIUMS shall be entitled to change the conditions of this Agreement, whereas approval of changes to this Agreement shall be performed by and between the Parties via the Secure Website of SANATORIUMS.
11. This Agreement shall be governed and interpreted exclusively in accordance with the laws of the Czech Republic.
12. All disputes which arise in relation to this Agreement or arising from it shall exclusively be presented to and adjudicated by the respective court in the Czech Republic, this being the court holding material jurisdiction over the place where the registered office of SANATORIUMS is located.
